1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of the websites, applications and ERP services provided by UnitePro ERP ("UnitePro", "we", "us" or "our"), available at unitepro.ai (collectively, the "Services").

By accessing or using the Services, creating an account, or clicking to accept these Terms, you agree to be bound by them. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, you must not use the Services.

2. Definitions

  • "Customer" / "you" — the individual or organisation that registers for or uses the Services.
  • "Customer Data" — any data, records or content you submit to or generate within the Services.
  • "Subscription" — a paid or trial plan that grants access to the Services for a defined term.
  • "Users" — individuals you authorise to access the Services under your account.

3. Eligibility & Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate, current and complete information and to keep it updated. Notify us immediately of any unauthorised use of your account or any other breach of security.

4. Licence & Acceptable Use

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes. You agree not to:

  • Copy, modify, distribute, sell, sublicense or create derivative works of the Services;
  • Reverse engineer, decompile or attempt to extract source code, except as permitted by law;
  • Use the Services to store or transmit unlawful, infringing, harmful or malicious content;
  • Interfere with or disrupt the integrity, security or performance of the Services;
  • Access the Services to build a competing product, or resell access without our written consent;
  • Exceed usage limits or circumvent any access or rate controls.

5. Subscriptions, Trials & Fees

Paid Services are billed in advance on the subscription plan and billing cycle you select. Unless stated otherwise, fees are non-refundable and exclusive of taxes, which you are responsible for.

  • Free trials, where offered, are provided for evaluation and may be modified or withdrawn at any time;
  • Subscriptions may renew automatically unless cancelled before the end of the current term;
  • We may change fees on prospective renewal with prior notice;
  • Late or failed payments may result in suspension or termination of access.

6. Customer Data & Privacy

As between the parties, you retain all rights in Customer Data. You grant us a limited licence to host, process and transmit Customer Data solely to provide and improve the Services and as permitted by these Terms.

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. You are responsible for ensuring you have the necessary rights and consents for Customer Data you provide. For privacy queries, contact sales@unitepro.ai.

7. Intellectual Property

The Services, including all software, design, text, graphics, trademarks and underlying technology, are owned by UnitePro ERP or its licensors and are protected by intellectual property laws. Except for the limited licence granted to you, no rights are transferred. Any feedback you provide may be used by us without restriction or obligation.

8. Third-Party Services

The Services may integrate with or link to third-party products and services that we do not control. Your use of those services is governed by their own terms, and we are not responsible for their availability, content or practices.

9. Confidentiality

Each party may access confidential information of the other. The receiving party agrees to protect such information with reasonable care and to use it only as necessary to perform under these Terms. This obligation does not apply to information that is public, independently developed, or rightfully received from a third party.

10. Service Availability & Support

We strive to keep the Services available and reliable but do not guarantee uninterrupted access. We may perform scheduled or emergency maintenance, and we may modify, suspend or discontinue features from time to time. Support is provided in accordance with your plan.

11. Disclaimer of Warranties

Except as expressly stated, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be error-free, secure or meet your specific requirements.

12. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill. Our aggregate liability arising out of or relating to these Terms will not exceed the amounts paid by you for the Services in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless UnitePro ERP, its affiliates and personnel from any claims, damages, liabilities and expenses arising out of your Customer Data, your use of the Services in breach of these Terms, or your violation of any law or third-party rights.

14. Term & Termination

These Terms remain in effect while you use the Services. Either party may terminate for material breach that remains uncured after reasonable notice. We may suspend or terminate access immediately for non-payment, security risk, or unlawful use.

On termination, your right to use the Services ceases. You may export Customer Data before termination where the Services provide that functionality; thereafter we may delete it in accordance with our retention practices. Provisions that by their nature should survive (including IP, confidentiality, disclaimers, liability and indemnity) will survive termination.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to applicable law, the courts at Gurugram, Haryana, India will have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Services. The parties will first attempt to resolve disputes amicably through good-faith negotiation.

16. Changes to These Terms

We may update these Terms from time to time. We will post the revised version on this page and update the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
